  1. SOFTWARE AGREEMENT
  2. for Galactic Realms
  3.  
  4. NOTICE -- READ THIS BEFORE DOWNLOADING, COPYING OR USING THE SOFTWARE.
  5. INSTALLING AND USING THE SOFTWARE ACCOMPANYING THIS LICENSE INDICATES
  6. YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. READ ALL OF THE TERMS
  7. AND CONDITIONS OF THIS LICENSE AGREEMENT PRIOR TO INSTALLING OR USING
  8. THE SOFTWARE. IF YOU DO NOT ACCEPT THESE TERMS, YOU MUST DELETE THE
  9. SOFTWARE FROM YOUR HARDWARE AND A FULL REFUND WILL BE ISSUED.
  10. PLEASE NOTE THAT YOU MAY NOT USE, COPY, MODIFY OR TRANSFER THE
  11. SOFTWARE
  12. OR DOCUMENTATION OR ANY COPY, EXCEPT AS EXPRESSLY PROVIDED IN THIS
  13. AGREEMENT.

  15. IMPORTANT -- READ CAREFULLY: By installing Galactic Realms
  16. ("Software")
  17. Licensee agrees to be and is hereby bound by the terms of this
  18. Software
  19. Agreement ("Agreement"). If Licensee does not agree to the terms of
  20. this
  21. Agreement, Licensee must promptly destroy all copies of the Software
  22. and
  23. accompanying documentation ("Documentation"). Certain portions of this
  24. Agreement restrict Licensee's rights and impose certain obligations
  25. with respect to such third party software.
  26.  
  27. I. GRANT OF LICENSE:
  28.  
  29. Kyle Poole hereby grants to Licensee a non-exclusive license to the
  30. Software and Documentation subject to the following terms:
  31.  
  32. Licensee may: (i) use the Software on any single computer;
  33. (ii) use the Software on a second computer so long as the first and
  34. second
  35. computers are not used simultaneously; (iii) copy the Software for
  36. back-up,
  37. archival purposes provided any copy must contain all of the original
  38. Software's proprietary notices.
  39.  
  40. Licensee may not: (i) permit other individuals to use the Software
  41. except
  42. under the terms listed above; (ii) modify, translate, reverse
  43. engineer,
  44. decompile, disassemble (except to the extent that this restriction is
  45. expressly prohibited by law) or create derivative works based upon the
  46. Software or Documentation; (iii) copy the Software or Documentation
  47. (except for back-up purposes); (iv) rent, lease, transfer, or
  48. otherwise
  49. transfer rights to the Software or Documentation; or (v) remove any
  50. proprietary notices or labels on the Software or Documentation.

  52. II. SOFTWARE:
  53.  
  54. If Licensee receives the first copy of the Software electronically and
  55. a
  56. second copy on media the second copy may be used for archival purposes
  57. only
  58. and may not be transferred to or used by any other person. This
  59. license
  60. does not grant Licensee any right to any enhancement or update.
  61.  
  62. III. TITLE:
  63.  
  64. Title, ownership, rights, and intellectual property rights in and to
  65. the
  66. Software and Documentation shall remain with Kyle Poole and/or his
  67. suppliers. The Software is protected by the copyright laws of Canada
  68. and
  69. international copyright treaties. Title, ownership rights and
  70. intellectual
  71. property rights in and to the content accessed through the Software
  72. including the content contained in the Software media demonstration
  73. files
  74. is the property of the applicable content owner and may be protected
  75. by
  76. applicable copyright or other law. This license gives Licensee no
  77. rights
  78. to such content.
  79.  
  80. IV. CONFIDENTIALITY:
  81.  
  82. By virtue of this agreement, the parties may have access to
  83. information
  84. that is confidential to one another ("Confidential Information").
  85. Confidential Information shall be limited to the Software Products and
  86. all
  87. information clearly marked as confidential.
  88.  
  89. A party's Confidential Information shall not include information which
  90. (a) is or becomes a part of the public domain through no act or
  91. omission
  92. of the other party; or (b) was in the other party's lawful possession
  93. prior
  94. to the disclosure and had not been obtained by the other party either
  95. directly or indirectly from the disclosing party; or (c) is lawfully
  96. disclosed to the other party by a third party without restriction on
  97. disclosure; or (d) is independently developed by the other party.
  98. Results of
  99. any tests run by Customer may not be disclosed outside of Customer's
  100. organization without permission in writing from Kyle Poole.
  101.  
  102. The parties agree, both during the term of this Agreement and for a
  103. period of
  104. two years after termination of the Agreement and of all licenses
  105. granted
  106. hereunder, to hold each other's Confidential Information in
  107. confidence. The
  108. parties agree not to make each other's Confidential Information
  109. available in
  110. any form to any third party or to use each other's Confidential
  111. Information for
  112. any other purpose than the implementation of this Agreement. Each
  113. party agrees
  114. to take all reasonable steps to ensure that Confidential Information
  115. is not
  116. disclosed or distributed by its employees or agents in violation of
  117. the
  118. provisions of this Agreement.
  119.  
  120. V. DISCLAIMER OF WARRANTY:
  121.  
  122. Product is deemed accepted by Recipient. The PRODUCT is provided AS IS
  123. WITHOUT
  124. WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
  125. LAW,
  126. KYLE POOLE FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT
  127. LIMITATION ANY
  128. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
  129. PURPOSE, AND
  130. NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE
  131. OF THE
  132. PRODUCT AND DOCUMENTATION REMAINS WITH RECIPIENT. TO THE MAXIMUM
  133. EXTENT PERMITTED
  134. BY APPLICABLE LAW, IN NO EVENT SHALL KYLE POOLE OR ITS SUPPLIERS BE
  135. LIABLE FOR
  136. ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR
  137. OTHER
  138. DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  139. BUSINESS
  140. PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER
  141. PECUNIARY
  142. LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE
  143. THE
  144. PRODUCT, EVEN IF KYLE POOLE HAS BEEN ADVISED OF THE POSSIBILITY OF
  145. SUCH DAMAGES.
  146. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR
  147. LIMITATION OF
  148. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE
  149. LIMITATION MAY NOT
  150. APPLY TO RECIPIENT.
  151.  
  152. VI. TERMINATION:
  153.  
  154. This license shall terminate automatically if Licensee fails to comply
  155. with the
  156. limitations described in this license. No notice shall be required to
  157. effectuate
  158. such termination. On termination Licensee must destroy all copies of
  159. the Software
  160. and Documentation.
  161.  
  162. VII. U.S. GOVERNMENT RESTRICTED RIGHTS AND EXPORT RESTRICTIONS:
  163.  
  164. The Software is provided with RESTRICTED RIGHTS. Use duplication or
  165. disclosure
  166. by the Government is subject to restrictions as set forth in
  167. subparagraph
  168. (c)(1)(ii) of The Rights in Technical Data and Computer Software
  169. clause of
  170. DFARS 252.227-7013 or subparagraphs (c)(i) and (2) of the Commercial
  171. Computer
  172. Software-Restricted Rights at 48 CFR 52.227-19 as applicable.
  173. Manufacturer is
  174. Kyle Poole, 90 James St, New Hamburg, ON Canada, N0B 2G0. Licensee
  175. acknowledges
  176. that none of the Software or underlying information or technology may
  177. be download
  178. or otherwise exported or re-exported (i) into (or to a national or
  179. resident of)
  180. Angola, Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any
  181. other country
  182. to which the U.S. has embargoed goods; or anyone on the U.S. Treasury
  183. Department's
  184. list of Specially Designated Nationals or the U.S. Commerce
  185. Department's Table of
  186. Denial Orders. By using the Software Licensee is agreeing to the
  187. foregoing and is
  188. representing and warranting that it is not located in under the
  189. control of a
  190. national or resident or resident of any such country or on any such
  191. list.
  192.  
  193. VIII. GOVERNING LAW:
  194.  
  195. The rights and obligations of the party's under this Agreement shall
  196. not be governed
  197. by the U N Convention on Contracts for the International Sales of
  198. Goods; rather such
  199. rights and obligations shall be governed and construed under the laws
  200. of the
  201. Province of Ontario, without reference to conflict of laws principles.
  202.  
  203. IX. ENTIRE AGREEMENT:
  204.  
  205. This agreement constitutes the complete and exclusive agreement
  206. between Kyle Poole
  207. and Licensee with respect to the subject matter hereof and supersedes
  208. all prior oral
  209. or written understandings, communications or agreements not
  210. specifically incorporated
  211. herein. This agreement may not be modified except in writing duly
  212. signed by an
  213. authorized representative of Kyle Poole and Licensee.
